1. Agreement to Terms

By accessing or using Documentaal's document automation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users, including organizations using the Service for business purposes.

2. Description of Service

Documentaal provides a Microsoft 365-native document automation platform designed for governance-first organizations. Our Service enables template management, document generation, AI-powered validation, and integration with Microsoft 365 applications. The Service is available through the Microsoft Marketplace and direct subscription.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all users within your organization comply with these Terms

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to systems or data
• Use the Service for any unlawful or fraudulent purposes

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Documentaal and are protected by international copyright, trademark, and other intellectual property laws. Your templates and documents remain your property; however, you grant us a limited license to process them as necessary to provide the Service.

6. Subscription and Payments

Access to the Service requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription plan
• Provide accurate billing information
• Accept automatic renewal unless cancelled before the renewal date
• Review and accept any price changes communicated in advance

Subscriptions through the Microsoft Marketplace are subject to Microsoft's additional terms and billing policies.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of scheduled maintenance when possible.

8. Limitation of Liability

To the maximum extent permitted by law, Documentaal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Documentaal and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately. You may export your data before termination in accordance with our data export procedures.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the Netherlands.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
